AutoFlow End User Software Licensing Policy

This End User License Agreement ("Agreement") is a legal agreement between the End User (whether an individual or entity, referred to herein as the "End User") and the Licensor ("Innomation"). This Agreement governs the terms and conditions under which the End User may use the software and accompanying documentation ("Software"), as well as the related services provided by Innomation. By installing, using, or interacting with the Software, Documentation, or any related services, the End User agrees to be bound by the terms of this Agreement. If the End User does not agree to the terms of this Agreement, they are not permitted to use or interact with the Software, Documentation, or Services.
1. General Terms
1.1 License Grant. Innomation hereby grants the End User a non-transferable, non-sublicensable, and limited license to use the AutoFlow Software and accompanying documentation for internal business purposes only. The license is effective upon payment of the applicable license fees. The End User’s right to use the Software is restricted to the quantity and scope specified in the purchase agreement or order form.
1.2 Use of the Software The End User shall use the Software in accordance with the instructions in the Documentation, and shall not exceed the scope and quantity of the licenses purchased. The End User is prohibited from using the Software for any purpose not expressly authorized by this Agreement. .
2. Restricted Activities
The End User shall not, without the prior written consent of Innomation:

Resell, transfer, share, or provide the AutoFlow Software or the license key to any third party.

Use the Software for providing services to third parties, such as hosting, leasing, sublicensing, or using the Software as a service, unless the appropriate license has been purchased.

Develop derivative software or programs based on the AutoFlow Software or Documentation.

Use the Software in any manner that violates applicable laws or regulations.

Distribute or share performance or feature testing results of the Software with third parties without the prior written consent of Innomation.
3. Warranty & License Support
3.1 Perpetual License: The End User is entitled to one (1) year of warranty support from the date of purchase, which includes the right to receive updates to the Software during the warranty period. After one (1) year, the End User will no longer receive Software updates unless the warranty is renewed.
3.2 Subscription License: The End User shall have access to the latest version of the Software throughout the term of the subscription.
4. Intellectual Property
4.1 The AutoFlow Software is licensed, not sold. All intellectual property rights relating to the Software, Documentation, and any related information are owned by Innomation.
4.2 The End User agrees that Innomation may use any feedback, ideas, or suggestions provided by the End User related to the Software or Documentation, and such feedback shall be the exclusive property of Innomation.
5. Indemnification
Innomation shall defend and indemnify the End User against any legal claims arising from the allegation that the AutoFlow Software infringes upon the intellectual property rights of a third party, subject to the following conditions:

Innomation is promptly notified of the claim.

Innomation retains the exclusive right to control the defense of the claim.

Develop derivative software or programs based on the AutoFlow Software or Documentation.

The End User cooperates fully with Innomation in the defense and resolution of the claim, with Innomation bearing the costs.
However, Innomation is not obligated to defend the End User if:

The End User uses the Software outside the scope of the license.

The End User modifies the Software without authorization.

The End User uses an outdated version of the Software known to contain intellectual property issues.

The End User integrates the Software with products not provided by Innomation, resulting in infringement.
6. Customer Support
6.1 Support Services. Innomation will provide support services to the End User through a ticketing system and hotline.
6.2 Support Documentation. The End User can access user manuals and instructional videos on Innomation’s official website at www.innomation.vn.
6.3 Support Outside the Scope of Agreement. If additional support is required outside the terms of the original agreement (e.g., direct support or retraining), both parties shall agree in writing on additional costs and implementation methods.
7. Notification
The End User agrees to receive notifications from Innomation regarding:

New features
-
New versions of the software
-
Related products
-
Useful newsletters or articles.
Such notifications may be sent via email, text message, phone call, or displayed directly within the Software.
8. Limitation of Liability
8.1 Limitation of Innomation’s Liability. Innomation shall not be liable for any damages arising from the End User’s misuse of the Software, using it for unintended purposes, or violating the terms of this Agreement.
6.2 Data Responsibility. The End User is solely responsible for the legality, reliability, and integrity of any data when using the Software.
6.3 Support Outside the Scope of Agreement. If additional support is required outside the terms of the original agreement (e.g., direct support or retraining), both parties shall agree in writing on additional costs and implementation methods.
8. Force Majeure
In the event of force majeure, the time for fulfilling obligations by the affected party shall be extended accordingly. If the event lasts for more than 45 consecutive days, the non-affected party may unilaterally terminate the Agreement.
8. Suspension & Termination of Agreement
8.1 Suspension of Use. Innomation may suspend the End User’s use of the Software if the End User fails to make payments or uses the Software for unintended purposes.
8.2 Termination of Agreement. This Agreement may be terminated upon the expiration of the usage period or if the End User fails to make timely payments. Upon termination, the End User must cease using the Software and return all related documentation.
